Oando Shareholders Approve Digital Assets, Cross-Border Listing Plans

Shareholders of Oando Plc. have approved all resolutions presented at the company’s 47th Annual General Meeting (AGM), including provisions for digital assets, emerging technologies and potential cross-border listings.

The resolutions, approved on Thursday, also included the re-election of four directors retiring by rotation, as shareholders reaffirmed their support for the company’s management and strategic direction.

The directors re-elected are Ademola Akinrele (SAN), Omamofe Boyo, Ikeme Osakwe and Adeola Ogunsemi, according to a statement issued by the company.

Shareholders also approved the re-appointment of BDO Professional Services as external auditors, the election of members of the Statutory Audit Committee and the remuneration of non-executive directors.

They further approved amendments to Oando’s Memorandum and Articles of Association to allow the company to hold physical, electronic and hybrid general meetings.

The amendments also provide for the use of digital assets, cryptographic technologies, distributed ledger technologies and other emerging technologies, subject to applicable laws and regulatory requirements.

In addition, shareholders authorised the board to pursue listings on other stock exchanges, including cross-border listings, subject to the required regulatory approvals.

The AGM featured extensive engagement between shareholders, the board and management, with participants seeking clarification and commenting on the company’s strategic priorities.

A shareholder, Bisi Bakare, commended the management for its approach to portfolio development, particularly its mining and infrastructure business.

Bakare said the shift from broad-based exploration to prioritising specific assets represented a more disciplined approach to capital allocation across the group.

Speaking on the company’s outlook, Oando Group Chief Executive, Adewale Tinubu, said operational control and disciplined execution would remain central to the company’s integration and expansion plans.

Tinubu said the company would maintain clear accountability, strengthen performance management, allocate capital responsibly, meet reporting timelines and remain committed to its strategic decisions.

The Chairman of the Board, Akinrele, thanked shareholders for their participation, questions and continued confidence in the board and management.
